1. Acceptance of Terms
By submitting the Vendor Registration Form to Advik Sustainable Solutions,
the Vendor confirms that it has read, understood and agreed to these Terms
& Conditions.
2. Accuracy of Information
The Vendor shall provide complete, accurate and current information.
Providing false, misleading, forged or incomplete information may result
in rejection, suspension or termination of Vendor registration.
3. Documents and Verification
The Vendor shall provide genuine and valid documents requested during
registration. Advik Sustainable Solutions reserves the right to verify
the authenticity and validity of submitted information and documents.
4. Vendor Approval
Vendor registration is subject to internal verification and approval.
Registration does not guarantee any minimum purchase, order, contract,
business volume or payment.
5. Compliance with Laws
The Vendor shall comply with all applicable laws, rules, regulations,
licences, permits and statutory requirements relating to its business.
6. Quality and Specifications
The Vendor shall supply goods or provide services according to agreed
specifications, quality standards, quantities and timelines.
7. Purchase Orders and Work Orders
The Vendor shall commence supply or work only after receiving an
authorized Purchase Order, Work Order, Contract or other written
authorization, unless otherwise approved.
8. Delivery and Performance
The Vendor shall meet agreed delivery schedules, service timelines and
project milestones and shall communicate anticipated delays promptly.
9. Invoicing and Payments
Invoices must contain accurate vendor, order, tax, quantity, pricing and
supporting information. Payment shall be subject to satisfactory receipt
or acceptance and applicable contractual terms.
10. Bank Account
The Vendor is responsible for providing correct bank information.
Changes to bank details shall be subject to the prescribed verification
process of Advik Sustainable Solutions.
11. Confidentiality
The Vendor shall maintain confidentiality regarding business, financial,
customer, technical, project and operational information received from
Advik Sustainable Solutions.
12. Anti-Bribery and Ethical Conduct
The Vendor shall not engage in bribery, corruption, fraud, kickbacks,
improper payments or other unethical conduct.
13. Conflict of Interest
The Vendor shall disclose any actual or potential conflict of interest
involving its owners, representatives or Advik Sustainable Solutions'
employees or representatives.
14. Health, Safety and Environment
The Vendor shall comply with applicable health, safety and environmental
requirements and applicable site rules.
15. Sustainability
Advik Sustainable Solutions encourages responsible sourcing, resource
efficiency, waste reduction, environmental protection and sustainable
business practices.
16. Labour and Human Rights
The Vendor shall comply with applicable labour laws and shall not engage
in child labour, forced labour, trafficking or unlawful discriminatory
practices.
17. Subcontracting
Where applicable, material subcontracting shall require prior approval.
The Vendor remains responsible for approved subcontractors.
18. Intellectual Property
The Vendor shall not use Advik Sustainable Solutions' name, logo,
documents, designs, photographs or other intellectual property without
authorization.
19. Audit and Verification
Advik Sustainable Solutions may conduct reasonable verification of Vendor
information, documents, compliance and performance.
20. Vendor Performance
Vendor performance may be evaluated based on quality, cost, delivery,
service, compliance, safety, sustainability and other relevant factors.
21. Suspension or Deactivation
Advik Sustainable Solutions may suspend or deactivate a Vendor for false
information, expired documents, poor performance, serious breach,
unethical conduct, safety violations or legal non-compliance.
22. No Guaranteed Business
Vendor registration does not guarantee any purchase order, contract,
minimum purchase volume, revenue or continued business.
23. Governing Law
These Terms & Conditions shall be governed by applicable laws of India.
Dispute resolution and jurisdiction shall be as specified in the
applicable agreement, Purchase Order, Work Order or Contract.
